1. About Raw Canvas

Raw Canvas provides podcast production, short-form clipping and distribution, launch and product media, and related content services, primarily for technology companies and venture capital funds. Specific scope, deliverables, pricing, and timelines for any engagement are agreed separately in a signed proposal, statement of work, or service agreement (“Engagement Agreement”), which takes precedence over these Terms in case of conflict.

2. Use of the Site

• You may use the Site for lawful purposes only and in a manner consistent with its intended purpose of showcasing our services and enabling inquiries.

• You agree not to misuse the Site, attempt unauthorized access to our systems, or interfere with its normal operation.

• All content on the Site, including text, designs, graphics, logos, and case study materials, is the property of Raw Canvas or its clients and may not be copied, reproduced, or used without prior written consent.

3. Inquiries and Forms

When you submit a form, email, or booking request through the Site, you consent to Raw Canvas collecting and using the information provided (such as your name, email address, and company details) to respond to your inquiry, schedule calls, and where applicable, provide service proposals. 4. Client Engagements

Once a client engages Raw Canvas for services, the relationship is governed by the applicable Engagement Agreement, which will set out:

• Scope of services and deliverables

• Fees, payment terms, and billing cadence

• Engagement duration, renewal, and termination/notice provisions

• Ownership and usage rights of produced content

• Confidentiality obligations

In the absence of a signed Engagement Agreement, no binding service relationship is formed, and any work performed on a goodwill, trial, or exploratory basis does not constitute an ongoing obligation on either party.

5. Intellectual Property & Content Ownership

Unless otherwise agreed in writing, ownership of final deliverables (edited episodes, clips, launch videos, and related assets) transfers to the client upon full payment. Raw Canvas retains the right to reference completed work, including client names and high-level outcomes, in its own portfolio, case studies, and marketing materials, unless the client has requested confidentiality in writing.

6. Fees and Payment

Fees, invoicing schedules, and payment terms are specified in the applicable Engagement Agreement or proposal. Late payments may result in pause of services until accounts are brought current. All fees are exclusive of applicable taxes unless stated otherwise.

7. Confidentiality

Both parties agree to keep confidential any non-public business, strategic, or financial information shared during the course of an engagement, except where disclosure is required by law or expressly permitted in writing.

8. Limitation of Liability

Raw Canvas provides services on a professional best-efforts basis. To the maximum extent permitted by law, Raw Canvas shall not be liable for indirect, incidental, or consequential damages, including loss of revenue, opportunity, or audience growth expectations, arising from use of the Site or provision of services. Our total liability under any engagement shall not exceed the fees paid by the client for the specific service giving rise to the claim.

9. Termination

Either party may terminate an ongoing engagement in accordance with the notice period specified in the relevant Engagement Agreement. Raw Canvas reserves the right to decline, pause, or discontinue services in cases of non-payment, breach of these Terms, or conduct that is abusive, unlawful, or harmful to our team.

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or for legal and regulatory reasons. The “Effective Date” above reflects the latest revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of India, and any disputes arising from use of the Site or general (non-engagement-specific) matters shall be subject to the exclusive jurisdiction of the courts in New Delhi, India. For clients based in the United States or other jurisdictions, the applicable Engagement Agreement may specify supplementary governing law or dispute resolution terms for that specific relationship; in case of conflict between this clause and an Engagement Agreement, the Engagement Agreement controls for that engagement.
